GENERAL TERMS AND CONDITIONS OF AVIOREC Srl FOR THE SUPPLY OF GOODS AND THE PROVISION OF SERVICES

Validity of the offer: The offer is valid for 15 days from the date of issue.

1. Order procedure To accept the offer, the following is required:

a) The return of this offer, stamped and countersigned for acceptance by those with signing powers. Verbal orders or orders sent by email with only text (without attachment) are not accepted. b) Payment of the deposit, if applicable. Please send the payment slip to the email address amministrazione@aviorec.com.

2. Supply conditions a) VAT: VAT must be added to the prices. b) Unless otherwise stated in the offer, the standard payment terms are 50% deposit and the balance by BB at 30 days from the end of the month. c) The processing of this activity is subject to the fulfillment of the obligations arising from previous contracts. In the event that the Customer does not fulfill the obligations referred to in the previous point, any deposits paid to start the processing of this order will be considered, preliminarily, as sums to satisfy the amounts of previous orders and, subordinately, as a deposit for this order. d) In the event that the amount of the contract should change during the activity, a supplement to the deposit may be requested.

3. Invoicing of progress payments In cases where the activity has a significant duration (over 1 solar month), a monthly progress payment invoice may be issued.

4. Any additional charges In the event that Aviorec has to carry out customs clearance on behalf of the Customer, the amount of customs duties (duties, etc.) will be charged to the Customer. Any additional costs for the production of administrative documentation (e.g. Certificate of tax residence against double taxation, anti-mafia, criminal record, various certificates) will be charged according to the costs incurred.

5. Limitations of liability and charges a) Except in cases of slight negligence, Aviorec is not liable for any loss or financial damage, in any way caused by the activities carried out, tests or other services provided. b) In the event of slight negligence attributable to its employees or collaborators in the performance of services, any loss or damage for which Aviorec may be held liable will be limited to the amount of the contract with a maximum of €5,000.00. c) The customer agrees to exclusively manage any compensation claims from third parties and to indemnify Aviorec from the consequences of the activity provided for in the contract.

6. General sales conditions For what is not mentioned above, our “General sales conditions” listed below apply: a) Services not provided for in the contract: For services not provided for in the offer/contract, but which become necessary during the production process, a separate offer will be made or the current price list will be applied. b) Intellectual property: All industrial property rights held by AVIOREC that will be used for the activities related to the offer will remain the exclusive property of AVIOREC and no right of any kind or nature will be transferred.

7. Privacy, professional secrecy, confidentiality All data collected will be used by Aviorec S.r.l. or by personnel appointed by it and duly trained in matters of personal data security and the right to Privacy, to carry out the requested activities, in order to guarantee the efficiency of the service, as well as for statistical purposes, regulated in compliance with European laws. Aviorec maintains the strictest secrecy on the information obtained during the performance of the activities, both by its employees and by non-employee personnel, in any case operating on behalf of the Institute. If Aviorec is required by law or authorized by contractual agreements to disclose confidential information, the customer will be informed of the information provided, unless this is prohibited by law. Any information provided to Accreditation/Notification/Authorization Bodies in the course of their regular verification activities is already considered authorized.
